I'm no lawyer not a securities expert, but I have sold some companies and one issue we had to deal with when selling to a public company was "cheap stock". The concern is that a company might distribute stock cheaply to insiders before going public, then sell it at a premium. (I guess the regulation protects the existing shareholders?) It is also an issue for employees who get options before an IPO. Options that are granted with the strike price equal to the value of the underlying are not taxed because there is no gain. But if the next day the stock triples because of an IPO, was the valuation correct? Are taxes owed? This regulation makes more sense to me, because Uncle Sam likes his taxes.

The anonymous CEO blogger has accused me of IT propoganda. Don't worry my feelings aren't hurt ;). Of course, it is in my interest as the CEO of a security firm that more CEOs recognize the value that investing in security brings. However, I would point out a few things that IMO, keep this post from being pure 'propoganda'.

It has occurred to me that you could develop an interesting incentive program for an information security team, assuming that you believe a couple of data points (or can come up with your own) and your primary concern is a data breach. In my opinion, security people are all too often incented only to maintain security - not to optimize the investment in security. Interests need to be aligned.

Now, this is interesting. A mobile payment system that supports an existing paper-based system. (more from Daniel today, he's on fire ;). Most ticketing systems now support UPC code reading for tickets purchased and printed at home. Now you can buy your tickets on your cell phone and have the UPC scanned from your phone.
